These Customer Terms and Conditions ("Terms") govern your access to and use of the Loomerang website, including loomerang.in and related online services, and your purchase of products through the platform.

"Loomerang", "we", "us" and "our" refer to Techtobright Private Limited, an Indian company having its office at 47, Chaulpatty Road, Beliaghata, Kolkata–700010, West Bengal, India.

Loomerang is a creator-led print-on-demand commerce platform through which customers may browse, select and purchase apparel, home décor and other lifestyle products featuring designs made available by independent designers/creators and/or designs made available through Loomerang's platform.

These Terms are intended for customers and purchasers. Separate terms may apply to designers/creators who upload or commercialise designs through Loomerang.

By accessing the website, creating an account, placing an order, making a purchase, or otherwise using Loomerang, you agree to be bound by these Terms and the applicable Privacy Policy and other policies displayed on the website.

If you do not agree to these Terms, you should not use the website or place an order.

We may update these Terms from time to time. The updated version will be posted on the website with an updated "Last Updated" date. Changes will apply prospectively to future use and orders, unless applicable law requires otherwise.

You must be legally capable of entering into a binding contract under applicable Indian law to place an order on Loomerang.

If you are below the age at which you can independently enter into a binding contract, you may use Loomerang only with the involvement and supervision of a parent or legal guardian, who will be responsible for the transaction to the extent permitted by law.

Where an account is required, you are responsible for providing accurate, current and complete information and for maintaining the confidentiality of your login credentials.

You must promptly notify Loomerang if you believe your account has been accessed without authorization. Loomerang is not responsible for losses caused by your failure to safeguard account credentials, subject to applicable law.

Loomerang uses print-on-demand and other fulfilment processes. Products may therefore be produced after an order is placed rather than held as conventional inventory.

We make reasonable efforts to display product descriptions, images, colours, dimensions, sizes, materials and other specifications accurately. However, colours and visual appearance may vary between devices and actual products.

Minor variations in print placement, colour, texture, stitching or other manufacturing characteristics may occur and do not necessarily constitute a defect.

Product availability, specifications and designs may change without prior notice. If an ordered product becomes unavailable before fulfilment, we may cancel the affected order and provide an applicable refund.

Many Loomerang products feature artwork or designs supplied by independent creators. The presence of a creator design does not mean the creator is a party to your purchase contract unless expressly stated otherwise.

Loomerang may identify or credit a creator on a product page, store page or marketing material. Creator names, profiles and design descriptions may be subject to change.

You may purchase a product incorporating a creator's design only for your personal, lawful use. Purchasing a physical product does not transfer copyright, trademark, design rights or other intellectual property rights in the underlying artwork.

Where a product is made or printed specifically following your order, the product may be treated as a made-to-order or personalised product. Accordingly, cancellation, return or exchange rights may be subject to the applicable Return, Refund and Cancellation Policy and applicable consumer law.

If you submit any text, image, logo, photograph or other material for personalisation, you represent that you have the necessary rights and permissions to use that material and authorise Loomerang and its service providers to use it solely as reasonably necessary to fulfil your order and provide related services.

Loomerang may refuse or cancel a personalised order if the submitted material appears unlawful, infringing, abusive, discriminatory, defamatory, sexually explicit, fraudulent, or otherwise prohibited.

Prices displayed on Loomerang are the prices applicable to the relevant product at the time of purchase, subject to correction of obvious errors and the terms of any applicable promotion.

Unless expressly stated otherwise, applicable taxes and other mandatory charges will be reflected in the amount payable at checkout in accordance with applicable law.

Shipping or delivery charges, where applicable, will be shown before you submit the final order, subject to the checkout flow.

If a pricing, tax or product information error is discovered after an order is placed, Loomerang may contact you and offer the option to reconfirm the order at the corrected price or cancel the affected order and refund amounts received for that order.

Promotional codes, discounts, credits and offers are subject to their stated terms, validity periods, eligibility conditions and exclusions.

Unless expressly permitted by the offer terms, promotions cannot be combined, transferred, exchanged for cash or retrospectively applied to completed orders.

Loomerang may withdraw or modify a promotion where reasonably necessary, including in cases of technical error, suspected misuse, fraud or legal/regulatory requirements.

Where an order placed using a discount is partially cancelled or refunded, the discount may be allocated or recalculated in accordance with the applicable promotion terms and refund policy.

An order submitted through the website is an offer by you to purchase the selected products on the terms displayed at checkout.

After you submit an order, Loomerang may send an acknowledgement confirming receipt of the order. This acknowledgement does not necessarily mean the order has been accepted.

An order is accepted when Loomerang confirms acceptance/processing of the order or otherwise communicates that fulfilment has commenced, subject to these Terms.

We reserve the right to refuse, cancel or limit an order where reasonably necessary, including because of product unavailability, pricing or technical errors, suspected fraud, payment failure, address problems, prohibited conduct, or legal/regulatory requirements.

Payments may be processed through third-party payment service providers. By initiating a payment, you agree to provide accurate payment and billing information and to comply with the applicable terms of the payment provider.

Loomerang does not store complete payment card information where payment processing is handled by a third-party payment provider, except to the extent permitted and required for legitimate payment, reconciliation, fraud prevention or legal purposes.

If payment fails, is reversed, is disputed, or is identified as potentially fraudulent, Loomerang may place the order on hold, cancel the order, request an alternative payment method, or take other lawful measures.

You must not use another person's payment instrument without authorization.

Loomerang may use third-party logistics, courier and delivery partners to fulfil orders. Delivery estimates shown on the website are estimates and may vary due to production time, courier operations, weather, public holidays, strikes, incorrect addresses or events beyond our reasonable control.

You are responsible for providing an accurate and complete delivery address, telephone number and other information required for delivery.

If a shipment cannot be delivered because of an incorrect address, refusal to accept delivery, repeated failed delivery attempts or other circumstances attributable to the customer, additional delivery charges or other consequences may apply where permitted by law and disclosed to you.

Risk and responsibility for the physical product will pass as provided by applicable law and the relevant delivery arrangement. Nothing in these Terms excludes statutory consumer rights.

Where reasonably practicable, inspect the package and product upon delivery. If the product is visibly damaged, incorrect or materially different from what was ordered, promptly contact Loomerang through the support/grievance channels and provide order details and relevant photographs or other evidence.

Failure to inspect a package immediately does not by itself waive any statutory rights or rights expressly provided under the applicable return/replacement policy.

Loomerang may request photographs, packaging details, unboxing evidence or other information reasonably necessary to investigate a damage, defect, wrong-item or transit claim.

Returns, replacements, exchanges and refunds are governed by Loomerang's applicable Return, Refund and Cancellation Policy as displayed on the website, together with mandatory rights available under applicable Indian consumer law.

Eligibility may depend on the product category, condition of the product, reason for return, whether the product is made-to-order or personalised, and the applicable return window.

Unless otherwise required by law or expressly stated in the applicable policy, products returned for a refund or replacement should be unused, unwashed, unaltered and in the condition required by the policy, with original packaging and tags where applicable.

Certain made-to-order, personalised, hygiene-sensitive or otherwise specified products may have restricted return or exchange eligibility, subject to applicable law.

Where a refund is approved, the amount and method of refund will be determined under the applicable policy and payment method, subject to applicable law and any lawful deductions or adjustments.

You may request cancellation of an order only within the cancellation window made available by Loomerang and before the order reaches a stage at which cancellation is no longer operationally possible.

Because many Loomerang products may enter production shortly after ordering, cancellation may become unavailable once production or fulfilment has commenced.

Nothing in this section limits any cancellation or refund right that cannot lawfully be excluded.

You agree to use Loomerang only for lawful purposes and in accordance with these Terms.

You must not attempt to interfere with website operation, circumvent security or access controls, introduce malware, scrape or systematically extract data without authorization, impersonate another person, submit fraudulent information, abuse promotions, or use Loomerang for unlawful or deceptive activities.

You must not use product images, creator artwork, trademarks, logos or other content from Loomerang for commercial reproduction, resale, distribution or other exploitation without the necessary rights or written permission.

You are responsible for reviewing your order details, including size, colour, quantity, personalisation, delivery address and contact information, before submitting the order.

If Loomerang permits reviews, ratings, photographs, comments or other customer content, you must ensure that your submissions are truthful, relevant and lawful.

You grant Loomerang a non-exclusive, worldwide, royalty-free licence to host, reproduce, display, adapt and use customer content for operating, improving and promoting the website and its services, subject to applicable law and the Privacy Policy.

You must not submit content that infringes third-party rights, contains unlawful personal information, is defamatory, fraudulent, hateful, sexually explicit, abusive, misleading, or otherwise prohibited.

Loomerang may moderate, refuse, remove or restrict customer content where reasonably necessary to enforce these Terms, protect users, comply with law or protect the platform.

The Loomerang name, trademarks, logos, website design, software, code, platform features, text, graphics, product photography created by Loomerang, proprietary content and other platform materials are owned by or licensed to Techtobright Private Limited and are protected by applicable intellectual property laws.

Creator artwork and other third-party materials remain owned by their respective rights holders unless otherwise expressly stated. No ownership rights are transferred to you merely because you purchase a product containing such material.

You may not copy, reproduce, modify, distribute, publicly display, commercially exploit, reverse engineer or create derivative works from Loomerang's proprietary platform materials except as permitted by law or with prior written permission.

Loomerang may use reasonable technical adaptations of artwork, product images and designs as necessary to manufacture, print, package, fulfil, display and market ordered products, subject to the rights and licences applicable to the relevant content.

Loomerang may rely on third parties for payment processing, hosting, analytics, communications, logistics, customer support, technology infrastructure and other services.

Third-party services may be governed by their own terms and privacy notices. Loomerang is not responsible for independent acts or omissions of third parties, except to the extent liability cannot lawfully be excluded.

The website may contain links or integrations to third-party websites or services. Such links do not constitute endorsement, and you access third-party services at your own risk.

Loomerang processes personal data in connection with account creation, order processing, payment, delivery, customer support, fraud prevention, legal compliance and other legitimate business purposes as described in the applicable Privacy Policy.

Personal data may be shared with service providers where reasonably necessary to provide the services, process transactions, deliver products, maintain security, comply with law or perform other disclosed purposes.

Loomerang will apply reasonable security measures appropriate to the nature of the information and applicable legal requirements. No online system can be guaranteed to be completely secure.

The Digital Personal Data Protection Act, 2023 and related rules/regulatory requirements will apply to the extent and from the dates they are legally in force and applicable to Loomerang's processing activities.

Loomerang may use cookies, pixels, local storage and similar technologies to enable essential website functionality, remember preferences, understand website usage, improve services, measure campaigns and, where applicable, support marketing.

Where consent is legally required for a particular technology or purpose, Loomerang will seek and manage consent in accordance with applicable requirements and its Privacy Policy.

Where a product carries a manufacturer, seller or service warranty, the applicable warranty terms will be communicated with or for the product where required.

Nothing in these Terms excludes or limits statutory guarantees, consumer rights or remedies that cannot lawfully be excluded or restricted.

Except where a warranty or consumer right expressly applies, Loomerang does not promise that every product will meet an individual preference, subjective expectation or intended use not stated in the product information.

We aim to keep Loomerang available and reliable, but the website may occasionally be unavailable or affected by maintenance, upgrades, technical failures, security incidents, internet/network issues or events beyond our reasonable control.

To the extent permitted by law, Loomerang provides the website and digital services on an "as available" basis and does not guarantee uninterrupted or error-free operation.

Nothing in these Terms is intended to exclude any liability, warranty, guarantee or consumer remedy that cannot lawfully be excluded under Indian law.

To the maximum extent permitted by applicable law, Loomerang will not be liable for indirect, incidental, special, punitive or consequential losses arising from use of the website or a transaction, including loss of profits, business opportunity or data, except where such limitation is prohibited by law.

For a particular order, and subject to applicable law, Loomerang's aggregate contractual liability arising directly from that order will not exceed the amount actually paid by you for the affected product/order.

The foregoing limitations do not apply to liability that cannot lawfully be limited or excluded, including where applicable statutory consumer remedies, fraud, wilful misconduct, or other non-excludable liability is involved.

To the extent permitted by law, you agree to indemnify and hold harmless Techtobright Private Limited, Loomerang and their officers, employees, agents and service providers from third-party claims, losses and reasonable costs arising directly from your unlawful use of the platform, fraud, intentional misuse, or infringement of third-party rights through material submitted by you.

This clause does not require you to indemnify Loomerang for matters caused by Loomerang's own unlawful conduct or liabilities that cannot legally be transferred to you.

Loomerang may investigate suspected fraud, payment abuse, promotion abuse, account misuse, chargebacks, false claims, identity misuse, automated abuse or other conduct that threatens customers, creators, payment systems or the platform.

Where reasonably necessary and permitted by law, Loomerang may cancel or hold an order, restrict an account, refuse a promotion, suspend access, or take other appropriate action. Nothing in this section limits statutory consumer rights.

For complaints relating to orders, products, payments, returns, refunds, platform use or alleged violations of law, you may contact Loomerang through the support/grievance channels.

Grievances will be handled in accordance with applicable law and the grievance-redressal requirements applicable to Loomerang. Please include your order number, registered email/phone number, issue description and supporting documents where relevant.

Where a complaint concerns intellectual property or unlawful content, Loomerang may request evidence reasonably necessary to assess the complaint and may take appropriate action.

When you use Loomerang, place an order or communicate with us electronically, you consent to receive electronic communications such as order confirmations, invoices, delivery updates, account notices and customer-service communications.

Electronic records maintained by Loomerang may be used as evidence of transactions and communications, subject to applicable law.

Applicable taxes will be charged and invoiced in accordance with applicable law.

You are responsible for providing accurate billing information required for invoicing and for complying with any tax obligations applicable to you in connection with your purchase.

Loomerang will not be responsible for delay or failure caused by events beyond reasonable control, including natural disasters, epidemic/pandemic events, war, riot, civil disturbance, strikes, governmental orders, utility or telecommunications failures, cyber incidents, major technology outages, logistics disruptions or acts of third parties beyond reasonable control.

Where reasonably practicable, Loomerang will take commercially reasonable steps to mitigate the effect of such events.

Loomerang may suspend or terminate an account or restrict access where reasonably necessary because of breach of these Terms, fraud, security concerns, unlawful conduct, misuse of the platform, or legal/regulatory requirements.

You may stop using the website at any time. Clauses that by their nature should survive termination, including intellectual property, payment obligations, disclaimers, liability, indemnification, dispute resolution and governing law, will survive to the extent applicable.

Loomerang may modify, suspend or discontinue features, products, services or portions of the website from time to time.

We may update these Terms to reflect changes in law, business practices, platform functionality, security requirements or other legitimate operational reasons. The latest version will be published on the website.

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue to the extent permitted by law.

Failure to enforce a provision on one occasion does not constitute a waiver of the right to enforce it later.

You may not assign your rights or obligations under these Terms without our prior written consent, except where permitted by law. Loomerang may assign or transfer its rights and obligations as part of a restructuring, merger, acquisition, sale of business or similar transaction, subject to applicable law.

These Terms are governed by the laws of India.

Customers may have statutory rights to approach the consumer commissions or other competent authorities available under applicable Indian law, and nothing in these Terms is intended to take away such rights.

Subject to the foregoing, Loomerang and the customer will first attempt in good faith to resolve disputes through customer support and grievance redressal. If a dispute cannot be resolved amicably, it may be pursued before a court, consumer commission, tribunal, arbitrator or other forum having lawful jurisdiction.

To the extent a court jurisdiction clause is applicable and legally enforceable, courts having competent jurisdiction in Kolkata, West Bengal may have jurisdiction, without excluding any mandatory jurisdiction available to consumers under applicable law.

These Terms should be read together with those policies. If a mandatory provision of applicable law conflicts with these Terms, the mandatory provision will prevail to the extent of the conflict.
